RESTATED
ARTICLES OF INCORPORATION
OF
NATIONAL
PUBLIC RECORDS RESEARCH ASSOCIATION, INC.
Pursuant to the provisions of Section 1007
of Chapter 617 of the Florida Statutes, the undersigned
corporation executes the following Restated Articles of
Incorporation:
1. The name of the corporation is National Public Records
Research Association, Inc.
2. The identification number assigned by the Department
of State is: 421274580
3. The date of filing the original Articles of Incorporation
was August 26, 1981.
The following Restated Articles of Incorporation supersede
the Articles of Incorporation, as amended, and shall be
the Articles of Incorporation for the corporation:
ARTICLE I
The Name of this corporation shall be: NATIONAL PUBLIC
RECORDS RESEARCH ASSOCIATION, INC.
The street address of the principal place of business
of this corporation is:

of this corporation is:

ARTICLE II
The purposes of this corporation are to serve as a trade
association of businesses engaged in the public records
filing, research and retrieval industry; to improve public
records industry practice; to elevate awareness of legislative
and technological changes that affect the public records
industry; to foster improved relationships with government
agencies responsible for the maintenance and administration
of public records; to promote uniformity and equal access
in the laws and practices that govern the public records
industry; and to engage in other lawful activities permitted
under Chapter 617 of the Florida Statutes.
ARTICLE III
This corporation shall have two classes of members that
shall be known as regular members and associate members.
A regular member shall be any sole proprietorship, corporation,
partnership, limited partnership, limited liability company
or other business entity whose business includes the research,
and/or retrieval, and/or filing of public records information
maintained by or on behalf of governmental agencies. Associate
members shall be any business entity or individual whose
business is indirectly related to such public records
information business, or whose business includes acting
as a supplier, advisor, attorney or consultant to a person
or entity engaged in such public records information business.
Quorum, voting, membership requirements and benefits for
each membership class shall be specified in the bylaws
of this corporation.
ARTICLE IV
This corporation is to exist perpetually.
ARTICLE V
The officers of this corporation shall be a President,
one or more Vice Presidents, a Treasurer, a Secretary
and such other officers as may be provided in the bylaws
of this corporation.
ARTICLE VI
The business of this corporation shall be managed by
the Board of Directors. The number of directors shall
be established as provided in the bylaws of this corporation,
but shall never be less than three. Members of the Board
of Directors shall be elected and hold office as provided
in the bylaws of this corporation.
ARTICLE VII
This corporation shall adopt bylaws as required by law
by the affirmative vote of this corporation's members.
Such bylaws may be amended only by this corporation's
members and may not be amended by the Board of Directors.

The street address of this corporation's registered office
and the name of its registered agent are as follows:

These Restated Articles of Incorporation were duly adopted
on the 23rd day of April, 2004, in accordance with the
provisions of Section 1002 of Chapter 617 of the Florida
Statutes, by all of the members of the board of directors
and by a majority of the members of the corporation entitled
to vote.
